Their formation product is fast and the process is clearly explained, which is most of what a first-time filer actually wants. Order confirmations are prompt, the interface does not demand any prior knowledge, and their support people answer. For someone starting a company who has never filed anything with a Secretary of State before, that is worth something, and it is the reason plenty of Tennessee LLCs began life on their platform.

None of that is in dispute here. The billing period is.

Read the Unit Before You Read the Number

Swyft Filings lists registered agent service at $149. What the price page also says, in smaller type than the figure itself, is that the $149 is charged quarterly.

Four of those inside one year is roughly $596. No first-year softener showed up in our review, so that is the running rate rather than an introductory one.

This is not an accusation of hiding anything, because the billing period is printed. It is an observation about how comparison shopping works. A reader scanning agent prices sees $149 from Swyft, $149 from Bizee, $125 from Rocket Lawyer, and files them all in the same mental bucket. Only one of those four charges arrives four times.

What $596 Buys in Tennessee

Set the annualized figure beside the state's own arithmetic and it stops being abstract.

Tennessee charges an LLC $50 per member for the annual report, subject to a $300 minimum and a $3,000 maximum. Six members or fewer and you are at the floor. So $596 a year in agent fees is very nearly two full annual reports for the typical small Tennessee company, spent on the one line of your compliance budget where the state has no opinion at all about what you should pay.

Tennessee's Fee Inversion, Which Almost Nobody Mentions

A small quirk that pays for itself, and it runs against the instinct most filers bring from other states.

In most places, the paper route is the expensive one and you pay extra for the privilege of using an envelope. Tennessee reverses it. Settle with the state electronically, by card or by e-check, and a convenience charge rides along on top of the fee itself. Mail a check and it does not. The saving is small on a $20 filing and less small on a report starting at $300, but the direction is the thing to remember. Here, the stamp is the discount.

Six Steps in Order, and the Quarters Stop

The whole procedure is one form and $20, and the order of operations matters more than the paperwork does.

Appoint before you file. Your incoming agent has to have accepted the role before the change goes to the state, because the record keeps naming Swyft Filings until the change is processed. Cancelling the subscription first does not remove them from your filing. It only removes the company being paid to watch the address they are still listed at. There is no penalty for an overlap and there is a real one for a hole.

Complete SS-4534. Short form, four things on it. Entity name as Tennessee has it, your Secretary of State control number, then who is taking the seat and the Tennessee address where they can be found. Our customers get those details handed to them at signup, so the form takes a few minutes.

Mind the address field. It has to be a physical location inside Tennessee, written out with city, ZIP, and county, and a post office box will be rejected.
